1. Agreement & Subscription Term

• The subscription term is one year from the date of signing up.
• At the end of each term, you may renew your subscription to continue using Moiboo.

2. License to use Moiboo

• For the duration of your active subscription, we grant you a non-exclusive, non-transferable license to use the Moiboo software as described in these Terms.
• The software is provided “as is” and any additional customisation is only available under a separate written agreement and additional fees.

3. Your responsibilities

You confirm that:

• You have seen a demo of the product and are satisfied that it meets your business requirements.
• You understand that the product is sold as-is, without further customisation unless expressly agreed in writing.
• You agree to pay all applicable charges at the agreed prices, including taxes, when creating your account based on your subscription or order form.
• You agree to provide accurate and up-to-date information when creating your account.

4. Account & security

When we create your Moiboo account using the email provided in your order form, you agree to:

• Change your password immediately after the account is created and keep it secure.
• Maintain accurate and up-to-date registration information.
• Accept all ris ks related to unauthorised access to your account and information you provide to us.
• Ensure that your hardware, systems and internet connection are suitable and in good working order to run the software.

5. Fees, renewals & taxes

• Your software access is active for one year. After that, you must renew your subscription at 20% of your first-year subscription fee to continue access, failing which your account may be suspended.
• We may revise renewal prices once every three years if costs increase, capped at 50% of the then-current cost.
• Our fees include cloud server costs with no data usage limits, but we may archive or compress data to manage storage efficiently.
• All fees and charges are exclusive of government taxes and levies. You are responsible for paying all applicable taxes on your purchases.

6. No refund policy

• Once your account is created, fees paid are non-refundable under all circumstances.

7. Service suspension & changes

• In case of non-payment or late payment, we may suspend services without prior notice until dues are cleared.
• We may change features, functionality or content of the site or software at any time without notice.
• Our fees include cloud server costs with no data usage limits, but we may archive or compress data to manage storage efficiently.
• We may edit or remove any content on the site that we consider inappropriate or harmful, at our sole discretion.

8. Data & confidentiality

• We will not disclose your confidential information to third parties except where required by law.

9. Disclaimers

• We do not warrant that the software complies with any specific local or international laws or regulations that apply to your business.
• We do not guarantee that the site or software will be error-free, virus-free or that defects will be corrected.
• We do not represent or warrant that information available on or through the site is correct, accurate, timely or reliable.

10. Limitation of liability

• Reach and its affiliates cannot be held liable for bugs in the software as specified under this Agreement.
• The total aggregate liability of Reach and its affiliates arising out of or related to this Agreement will not exceed SGD 100, regardless of the number of claims.
• In no event will Reach or its affiliates be liable for any indirect, special, exemplary, incidental or consequential damages (including loss of revenue, profits, savings, business, data, or costs of delay or standstill), whether in contract, tort or any other legal theory, even if advised of the possibility of such damages.
• I f any dispute arises in connection with this Agreement, you agree to reimburse Reach for reasonable legal fees, attorney charges, travel and incidental expenses incurred in protecting its interests.

11. Force majeure

• We are not liable for any delay or failure to perform our obligations due to causes beyond our reasonable control, including government regulations, fire, strike, war, flood, accident, epidemic, embargo, or appropriation by public authorities. Our nonperformance continues only as long as such causes exist.
